Welcome to Callis. These Terms of Service ("Terms") govern your access to and use of Callis's AI-powered receptionist services, including our website, software, and related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use our Services.

These Terms constitute a legally binding agreement between you ("you," "your," or "Customer") and Callis ("we," "us," or "our").

1. Acceptance of Terms

By creating an account, accessing our website, or using our Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations.

If you are entering into these Terms on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of Services

Callis provides AI-powered receptionist services that include, but are not limited to:

  • Automated call answering and routing
  • Appointment scheduling and calendar management
  • Message taking and call transcription
  • Caller information collection and CRM integration
  • Custom greeting and script configuration
  • Call analytics and reporting
  • Integration with third-party business tools

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, with or without notice, though we will make reasonable efforts to notify you of material changes.

3. Account Registration and Security

3.1 Account Creation

To use our Services, you must create an account by providing accurate, complete, and current information. You agree to update your information promptly if it changes.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized access or security breach.

3.3 Account Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our Services. By using our Services, you represent that you meet these requirements.

4. Subscription Plans and Billing

4.1 Subscription Plans

Our Services are offered through subscription plans with different features, call volumes, and pricing tiers. Current pricing and plan details are available on our website.

4.2 Billing and Payment

  • Subscription fees are billed in advance on a monthly or annual basis
  • You authorize us to charge your payment method on file for all applicable fees
  • All fees are non-refundable unless otherwise specified or required by law
  • We may change our pricing with 30 days' notice to existing customers
  • Failed payments may result in service suspension or termination

4.3 Overage Charges

If your usage exceeds your plan's included limits (calls, minutes, messages), overage charges will apply as specified in your plan details. You will be notified when approaching limits.

4.4 Taxes

All fees are exclusive of applicable taxes, which you are responsible for paying. We will add applicable sales, use, value-added, or similar taxes to your invoice.

5. Free Trial

We may offer a free trial period for new customers. During the trial, you have full access to the selected plan's features. Your payment method will be charged automatically when the trial ends unless you cancel before the trial period expires. We reserve the right to modify or discontinue free trials at any time.

6. Cancellation and Termination

6.1 Cancellation by Customer

You may cancel your subscription at any time through your account dashboard. Cancellation will take effect at the end of your current billing period. You will continue to have access to the Services until the end of the paid period. No refunds will be provided for partial billing periods.

6.2 Termination by Callis

We may suspend or terminate your access to the Services immediately if:

  • You breach these Terms or our Acceptable Use Policy
  • Your account has overdue payments
  • You engage in fraudulent, illegal, or harmful activities
  • We are required to do so by law
  • We discontinue the Services (with reasonable notice)

6.3 Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. We will retain your data for 30 days after termination, after which it will be permanently deleted (subject to legal retention requirements). You may request a data export before termination.

7. Acceptable Use Policy

You agree not to use our Services to:

  • Violate any laws, regulations, or third-party rights
  • Send spam, unsolicited communications, or robocalls
  • Impersonate any person or entity, or falsely represent your affiliation
  • Transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Interfere with or disrupt the Services or servers
  • Scrape, mine, or extract data from the Services without permission
  • Use the Services for illegal telemarketing or fraudulent activities
  • Reverse engineer, decompile, or disassemble any aspect of the Services
  • Remove or modify any proprietary notices or labels

8. AI Service Specific Terms

8.1 AI Limitations

Our AI-powered receptionist uses advanced natural language processing but is not perfect. You acknowledge that the AI may occasionally misunderstand requests, provide incorrect information, or fail to handle complex scenarios. We continuously improve our AI but do not guarantee 100% accuracy.

8.2 Call Recording and Consent

Calls handled by our AI are recorded for quality assurance, training, and service improvement. You are responsible for ensuring compliance with applicable call recording laws in your jurisdiction, including obtaining necessary consent from callers. Our AI provides call recording notifications as configured by you.

8.3 Training Data

We may use call recordings, transcriptions, and usage data to train and improve our AI models. Personal information is anonymized or removed before use in training. You may contact us to opt out of data use for training purposes.

8.4 Customization Responsibility

You are responsible for configuring greetings, scripts, appointment rules, and other settings appropriately for your business. We are not liable for missed appointments, incorrect information, or customer dissatisfaction resulting from misconfiguration.

9. Intellectual Property Rights

9.1 Callis Property

The Services, including all software, algorithms, AI models, text, graphics, logos, and other materials, are owned by Callis and protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services for your business purposes.

9.2 Your Content

You retain ownership of all content you provide to the Services (greetings, scripts, business information). You grant us a worldwide, non-exclusive license to use, process, and store your content solely to provide the Services and as described in our Privacy Policy.

9.3 Feedback

If you provide feedback, suggestions, or ideas about our Services, we may use them without obligation or compensation to you.

10. Privacy and Data Protection

Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our privacy practices as described in the Privacy Policy.

11. Warranties and Disclaimers

11.1 Service Level

We strive to provide 99.4% uptime for our Services, excluding scheduled maintenance. However, we do not guarantee uninterrupted or error-free service. We are not liable for service disruptions caused by factors beyond our reasonable control.

11.2 Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will meet your requirements, be secure, or be free from bugs or errors. You use the Services at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALLIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, REVENUE, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for all claims arising from or related to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months immediately preceding the event giving rise to liability, or $100, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Callis, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Services
  • Your violation of these Terms or applicable laws
  • Your violation of third-party rights
  • Content you provide to the Services
  • Your failure to comply with call recording or other regulatory requirements

14. Dispute Resolution

14.1 Informal Resolution

Before filing a claim, you agree to contact us at legal@callis.ai and attempt to resolve the dispute informally for at least 30 days.

14.2 Binding Arbitration

If we cannot resolve the dispute informally, you agree that any dispute arising from or relating to these Terms or the Services shall be resolved through binding arbitration conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be held in [Your State], and judgment on the award may be entered in any court of competent jurisdiction.

14.3 Class Action Waiver

You agree to bring claims only in your individual capacity and not as a plaintiff or class member in any class, consolidated, or representative action. Class arbitrations and class actions are not permitted.

14.4 Exceptions

Either party may seek injunctive relief in court to protect intellectual property rights or confidential information.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law provisions. Any legal action must be brought in the state or federal courts located in [Your County, State].

16. Changes to Terms

17. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Callis regarding the Services.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure

We shall not be liable for any failure to perform due to causes beyond our reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of government, or network infrastructure failures.

Relationship

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Callis.
